1. Introduction and definitions

These Terms and Conditions of Use (hereinafter, "T&C") govern the access and use of the online platform (hereinafter, the "Platform"), owned by THERAUP SOLUTIONS, S.L. (hereinafter, "Aurela"), with registered office at Avenida Alcalde Barnils número 63, 08174, Sant Cugat del Vallés, Barcelona and NIF B21842166, registered in the Commercial Registry of Barcelona, electronic volume and folio, IRUS 1000449029576, folio 1, sheet B-633601, REGISTRATION 1; and has been assigned the NIF B21842166. The contact email is info@aurela.health.These T&C are intended to regulate the conditions of access, registration and use of the Platform by end users/patients ("Users" or "Patients"), as well as the use of the intermediation services offered by Aurela. Aurela's main service consists of facilitating the meeting and communication between Users seeking psychotherapy services and independent professional psychologists ("Psychologists") who offer such services through the Platform.These T&C exclusively govern the relationship between the User and Aurela in its capacity as an intermediary platform. They do not regulate, nor do they intend to regulate, the therapeutic relationship that is established directly between the User and the Psychologist, which will be developed under the terms and conditions that they agree upon and under the exclusive responsibility of the Psychologist.For the purposes of these T&C, the following terms shall have the meaning attributed to them below:
  • Platform: Aurela's website and/or mobile application, including its software, design, databases, content and functionalities.
  • Psychologist: Psychology professional, duly qualified, registered and authorized to practice as a health psychologist in Spain (or, where applicable, who holds the corresponding title homologation) who registers and uses the Platform as an independent professional to offer their services to Users.
  • User/Patient: Natural person who uses the Platform to search, contact and receive services from Psychologists. The terms and conditions applicable to Users are found in a separate document.
  • Intermediation services: The technological services provided by the Platform, consisting of facilitating contact between Psychologists and Users, offering tools for schedule management, appointment booking, communication (messaging, video call) and payment processing, acting as a mere technological intermediary.
  • Psychotherapy services: The evaluation, diagnosis, intervention and/or health psychological treatment services provided directly by the Psychologist to the User through, or facilitated by, the Platform. These services are the exclusive responsibility of the Psychologist.
  • Session: Each of the consultations or sessions conducted by the Professional to the User through the tools provided by the Platform.
  • Content: All information, data, texts, software, music, sound, photographs, graphics, video, messages or other materials, whether publicly published or privately transmitted through the Platform.

2. Acceptance

Access, navigation, registration on the Platform and/or the use of any of the services offered by Aurela attribute the status of User and imply the full, express and unreserved acceptance of each and every one of these T&C in the version published at the time the User accesses the Platform. This acceptance will be considered formalized through a consent mechanism enabled for this purpose during the registration process or before the first use of a service.The User declares to be of legal age and to have the legal capacity necessary to contract and be bound by these T&C.If the User does not agree with the content of these T&C, they must refrain from accessing, registering and using the Platform and its services.

3. Service description

Aurela is a technological platform whose main activity is to make available to Users a digital space with technological tools that allow them to search, find, contact, and schedule sessions with independent Psychologists who have decided to offer their psychotherapy services through the Platform. These Psychologists have been verified by Aurela and are authorized in Spain to practice their activity.Notwithstanding the above, Aurela is not part of the psychotherapy service provision contract that is entered into solely and exclusively between the User and the Psychologist that is freely chosen.IT IS EXPLICITLY, CLEARLY AND UNEQUIVOCALLY DECLARED THAT AURELA DOES NOT PROVIDE HEALTH SERVICES OF ANY KIND, NOR PSYCHOTHERAPY SERVICES, NOR MEDICAL, PSYCHOLOGICAL OR PSYCHIATRIC ADVICE, NOR DOES IT PERFORM CLINICAL DIAGNOSES NOR PRESCRIBE TREATMENTS. The Platform is not a health center nor a health service provider.Psychologists act independently, under their own professional and deontological responsibility, and using the Platform solely as a technological means to connect with Users.Aurela offers Users search and filtering services and functionalities that help select Psychologists whose profiles may fit their needs or preferences. These filters may be based on objective criteria such as the professional's availability, specialization areas or therapeutic approaches that the Psychologist has indicated in their profile, location, language, or general information about the type of consultation that the User expresses.ANY FILTERING PROCESS OR SUGGESTION OF PSYCHOLOGISTS MADE BY THE PLATFORM IS NOT BASED ON INDIVIDUALIZED HEALTH CONSIDERATIONS, NOR DOES IT CONSTITUTE A CLINICAL EVALUATION, A DIAGNOSIS, A THERAPEUTIC RECOMMENDATION NOR A MEDICAL OR PSYCHOLOGICAL PRESCRIPTION BY AURELA. The final decision and responsibility for choosing a Psychologist rests exclusively with the User. Aurela does not guarantee that the suggested or chosen Professional Psychologist is the most suitable for the User's specific needs.

4. Access and registration conditions

4.1. Prerequisites

Access, registration and use of the Platform's services are reserved exclusively for natural persons who are of legal age - that is, who have reached 18 years of age, in accordance with Spanish legislation - and who have full legal capacity to contract and be bound by these T&C. Minors are not authorized to register or use the Platform on their own. The provision of psychotherapy services to minors requires specific consents and procedures that must be required by the Psychologist and will in any case require the consent of the minor's parents or legal guardians.Aurela reserves the right to request at any time, and by means it deems appropriate, documentation certifying the User's age and identity. In the event that it is detected or there are reasonable indications that a User is a minor or has provided false information, Aurela may suspend or cancel the User's account without prior notice and without any liability.

5. Use of the Platform

The User undertakes to make diligent, lawful and correct use of the Platform, refraining from using it in a manner contrary to the law, morality, good customs, public order or what is stipulated in these T&C.Any improper, illegal or fraudulent use of the Platform and its services is expressly prohibited.

6. User responsibilities

The User is solely responsible for:
  • The truthfulness, accuracy, validity and authenticity of the information and personal data that they communicate or provide to Aurela and/or the Psychologists.
  • Compliance with applicable regulations regarding the protection of personal data.
  • The use they make of the Platform and the functionalities it makes available to them.
  • The choice of the Psychologist with whom they decide to start or continue a therapeutic process.
  • The therapeutic relationship that is established between the User and the chosen Psychologist.

7. Aurela's responsibilities

Aurela acts exclusively as a technological intermediary between Users and Psychologists. Consequently, Aurela assumes no responsibility for the psychotherapy services provided by Psychologists, nor for the results, suitability, effectiveness or consequences derived from such services.Aurela does not guarantee the uninterrupted availability and continuity of the Platform's operation. Aurela excludes, to the extent permitted by current legislation, any liability for damages of any nature that may be due to the lack of availability or continuity of the Platform's and services' operation.Aurela will not be responsible for damages that may arise from improper use of the Platform by unauthorized third parties.

8. Payments and billing

The psychotherapy services provided by Psychologists have a cost that is independently determined by each Psychologist. Aurela facilitates payment processing through the Platform acting as an intermediary in payment collection management.The User accepts and acknowledges that Aurela may charge a commission for the intermediation service provided, which will be transparently informed before the confirmation of any transaction.The payment methods accepted on the Platform will be those that Aurela determines and communicates at each time.The User undertakes to provide valid, updated and complete payment information.

9. User content

Users may, through certain Platform functionalities, generate, publish or transmit content, such as messages, comments, ratings, photographs, or any other information.The User is solely responsible for the content they generate, publish or transmit through the Platform. The User guarantees that such content does not infringe third-party rights, is not illegal, defamatory, obscene, offensive, discriminatory or contrary to good customs.By generating, publishing or transmitting content through the Platform, the User grants Aurela a non-exclusive, worldwide, free, transferable and sublicensable license to use, reproduce, distribute, prepare derivative works, display and perform such content in relation to the provision of services and the operation of the Platform, as well as for its promotion, in any format and through any communication channel. This license will last while the content is published on the Platform and, subsequently, for the time necessary for archival or legal compliance purposes.Aurela is not responsible for content generated by Users. However, Aurela reserves the right to review, supervise, moderate, edit, delete or restrict access to any content generated by Users that, in its judgment, infringes these T&C, is illegal, violates third-party rights, or is in any other way inappropriate, without prior notice.

10. Personal data protection

The processing of Users' personal data collected and managed through the Platform is governed by the provisions of Aurela's Privacy Policy. This Privacy Policy is an integral and inseparable part of these T&C and must be read and expressly accepted by the User during the registration process and before using the services.

11. Modification of terms and conditions

Aurela reserves the right to modify, at any time and at its sole discretion, these T&C, as well as any other policy or particular condition that applies, to adapt them to legislative or jurisprudential developments, changes in the Platform or in the services offered.Any modification of the T&C will be notified to Users with reasonable advance notice before its effective entry into force. Such notification will be made through the Platform itself and/or by means of communication sent to the email address provided by the User in their registration. The notice period will, as a general rule, be at least fifteen (15) calendar days, unless legal imperatives or exceptional circumstances justify a shorter period.The notification will inform the User about the nature of the changes and about their right to terminate the contract (i.e., to unsubscribe from the Platform and cease using the services) without cost or penalty if they do not agree with the new conditions. If, after the notice period, the User continues to use the Platform, it will be understood that they accept the modifications introduced. Effective and transparent communication of modifications is essential to guarantee Users' rights and the validity of the changes.

12. Communications between Aurela and the User

Communications between Aurela and the User will preferably be made electronically. Notifications from Aurela to the User will be considered validly made when sent to the email address that the User has provided at the time of registration or that appears updated in their Platform profile, or through notices or messages published directly in their user account within the Platform.The User, for their part, may direct their communications to Aurela through the contact email address referenced at the beginning of this document or through any other contact channel that Aurela expressly enables on the Platform.

13. Duration and termination

These T&C will enter into force at the time of their acceptance by the User and will remain in effect indefinitely, while the User maintains their active account on the Platform and none of the termination causes provided for occurs.The User may unilaterally terminate the contractual relationship and unsubscribe their account on the Platform at any time, following the procedure that Aurela establishes for this purpose.Aurela may terminate the contractual relationship and cancel the User's account in the following cases:
  • Due to serious or repeated breach by the User of any of the obligations established in these T&C or in applicable legislation.
  • Due to detection of fraudulent or illegal activity by the User.
  • Due to prolonged inactivity of the User's account, after notice.
  • Due to definitive cessation of the Platform's activity by Aurela, after notice to Users.
The termination of the contractual relationship will imply the cancellation of the User's access to the Platform, after communication by Aurela indicating the reasons for suspension or termination of their account. The User's information and personal data will be processed in accordance with the provisions of the Privacy Policy and data protection regulations, including the retention and blocking periods legally established to attend to possible responsibilities and/or legal requirements.

14. Nullity and partial ineffectiveness

If any clause or provision of these T&C is declared, totally or partially, null, invalid or ineffective by a competent judicial or administrative body, such declaration will not affect the validity and effectiveness of the remaining clauses and provisions, which will remain fully in force.The clause or provision declared null, invalid or ineffective will be considered as not included, and Aurela will seek to replace it with another that has effects most similar to the original, unless the affected clause was of an essential nature for the purpose of these T&C, in which case the consequences of its nullity on the entire agreement will be analyzed.

15. Complete agreement

These T&C, together with the Privacy Policy, the Cookie Policy and any other particular conditions, policies or guidelines that Aurela may publish on the Platform and that are expressly accepted by the User (for example, specific conditions for promotions or new services), constitute the entirety of the agreement existing between Aurela and the User in relation to the subject matter defined herein.These documents replace and nullify any other agreement, pact, understanding or prior communication, whether verbal or written, that may have existed between the parties previously in relation to such subject matter.

16. Applicable law and competent jurisdiction

These T&C, as well as any relationship between Aurela and the User derived from access and use of the Platform, will be governed and interpreted in all their aspects in accordance with Spanish legislation.For the resolution of any dispute, litigation or discrepancy that may arise between Aurela and the User in relation to the validity, interpretation, compliance or execution of these T&C, the parties undertake to try to reach an amicable solution before resorting to the judicial route.In the event that an amicable agreement is not reached, and without prejudice to the rights that Users have in their capacity as consumers, the parties may submit the dispute to the Courts and Tribunals that are competent in accordance with applicable procedural legislation. In the event that the User acts as a consumer, they will have the right to choose the court or tribunal of their domicile.
